1. Nature of Services (Important Disclaimer)

Xactify Accounts provides administrative bookkeeping and lodgement support only. We are not a registered tax agent, CPA, financial adviser, or law firm. No tax, financial, or legal advice is provided.

2. Scope of Services

  • Bookkeeping, payroll/STP setup, data entry, and cloud software setup.
  • Assistance preparing and submitting TFN/ABN/ASIC applications using client-provided information.
  • Preparation and formatting of non-assured financial reports (P&L, Balance Sheet, Cash Flow) from client-supplied data.

3. Services We Do Not Provide

  • Tax advice, BAS/tax return preparation, financial planning, legal advice, audits, or ATO/ASIC representation.

4. Client Authority & Responsibilities

  • You authorise us to use the information and identity documents you provide to prepare your requested service(s).
  • You confirm all information supplied is true, accurate, and lawful to use.
  • You must maintain original records and promptly review drafts/outputs.

5. Processing Timeframes

Government timeframes (e.g., ATO/ASIC) are outside our control and may take up to 28 days or longer.

6. Fees, Payments & Refunds

  • Fees are payable upfront. Government or third-party fees are pass-through and non-refundable.
  • For one-time services, if no work has commenced, you may cancel within 24 hours for a full refund of our fee (pass-through excluded).

7. Deliverables & Limitations

Reports are prepared from your data for presentation purposes and are not audits, reviews, or assurance engagements. You remain responsible for compliance decisions.

8. Liability Limitation

To the maximum extent permitted by law, our aggregate liability is limited to the fees paid for the specific service in the preceding 12 months. Nothing limits your rights under the Australian Consumer Law (ACL).

9. Exclusions

  • We are not liable for consequential/indirect loss, lost profits, ATO/ASIC penalties, third-party outages, or data loss beyond our reasonable control.

10. Privacy & Data Security

We comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. See our Privacy Policy for collection, use, storage, and access requests.

11. Data Retention

Business records are retained for 7 years or as required by law. Personal information is retained only as necessary for service provision and legal obligations.

12. Consumer Guarantees

Your rights under the ACL apply. For major failures you may be entitled to a refund or re-performance.

13. Intellectual Property

  • Website content, templates, and methodologies remain our IP.
  • Your own data and documents remain your property.

14. Indemnity

You indemnify us for loss arising from your breach of these terms, illegal use of data, or reliance on outputs beyond their intended administrative scope.

15. Force Majeure

We are not liable for delays caused by events beyond reasonable control (e.g., outages, government systems, disasters).

16. Governing Law

These terms are governed by the laws of Victoria, Australia. Disputes are subject to Victorian courts.

17. Changes to Terms

We may update these terms. Continued use after posting changes constitutes acceptance. Significant changes will be notified by email when practicable.
